A Revisit of Fundamental Attributes of a Company for Introducing Single Member Company Law in Thailand

Abstract

Today systems of company registration worldwide are opening for companies to be established by a single member in order to accommodate small businesses into registration system and to be more corporate-wise. This also reflects the fact that small businesses are trending, especially for a single member company type. However, Thai limited company law has been designed and still accommodates large and multi-members companies. Key features of limited companies, for examples, requiring the companies to have at least three members and be controlled by the board of directors, are still required for all types of companies. In order to introduce a single member company law in Thailand, we, therefore, need to revisit all fundamental corporate attributes and reconsider if we still require all of them to be a company in Thailand.
